On March 16, 2015, CAPPA held its monthly Continuing Professional Development (CPD) Luncheon for its members and guests. Howard E. Johnson, a leading M&A expert gave a talk on Acquisitions & Divestitures.
In his presentation, Howard provided an overview of the acquisition and divestiture process, and examined components, such as pre-transaction planning, valuation and negotiation. He briefed the participants on Canadian M&A activity in the energy sector. He also addressed the current M&A environment for energy companies and common mistakes that buyers and sellers make.
Discussing acquisitions, Howard pointed out the critical importance of proper pre-acquisition activities and shared the key factors in successful integration. Participants took special interest in the details Howard shared on the acquisitions cycle which lead to several questions.
Howard’s briefing on divestitures included key features of the sale process, timing and preparation of the sale, valuation, buyers and their interests, transaction structuring, and effective closing of a sale.
Participants enjoyed the session and appreciated the learning from the topic.
